The $0.02 per share dividend will be paid on December 18, 2020 to shareholders of record at the close of business on December 8, 2020. We currently estimate that a total of approximately $1.6 million will be paid on the Company's 80.8 million shares of common stock. This is the Company's seventieth consecutive quarterly cash dividend. With the payment of this dividend, the Company will have paid a total of $490.4 million in cash dividends, including three special dividends since the dividend program was implemented in the third quarter of 2003.

Marten, Heartland Stock Prices Get Boost After Strong Quarters
- Tightened capacity seen as a spur to both Heartland Express, Inc. (NASDAQ: HTLD) and Marten Transport, Ltd (NASDAQ: MRTN) beating estimates, with optimism from analysts going forward.The earnings reports of truckload carriers Heartland Express and Marten Transport released on Thursday, July 16 continued to resonate with investors a day later, with the stock prices of both companies recording significant gains. At approximately 11:50 a.m. EDT, Marten had risen $2.47 per share to $29.43, a gain of 9.16%. It has traded Friday in excess of $30. While its earnings report did not exceed forecasts as much as those of Heartland, Marten did split its stock 3-for-2 while maintaining its dividend at $0.04 per share, which is effectively a 50% increase in the yield. Meanwhile, at the same time, Heartland had risen $1.01 per share to $22.36, a gain of 4.73%. That came after a July 16 performance following the morning release of its earnings in which the stock rose 4.7% from Wednesday to $21.35. (Marten's earnings were released after the close.)The beat on earnings and revenue for both companies was considerable. At Heartland, GAAP basis earnings per share of $0,24 were $0.10 more than what SeekingAlpha said was the consensus. Revenue of $160.87 million was $8.48 million more than consensus. A report from UBA analyst Thomas Wadewitz described the outperformance as "meaningful."At Marten, the earning report of $0,33 per share was also $0.10 more than forecast. Revenue of $212.38 million was $7 million above consensus. Neither Marten nor Heartland are companies that are widely covered by Wall Street equity analysts. But Todd Fowler of KeyBanc covers both and remains bullish. However, he did not change his investment recommendation on either, which already was at Overweight.What comes through his summary of both company's earnings is the bullishness of the freight market and the tightness in capacity. "Freight activity improved sequentially during the quarter with strength in late May and June more than compensating for a particularly soft April," Fowler wrote in discussing Heartland. "The resumption of Chinese import activity as well as the resumption of economic activity combined to produce a strong recovery in demand during the quarter with some implications from capacity reduction industry side."Late Quarter Strength Continues This MonthFowler, who discussed the earnings with Heartland management after they were released (Heartland does not do an earnings call) reiterated what the company said in its earnings statement: the market has continued strong into July. "July to date, trends have persisted with turndown elevated seasonally," Fowler wrote. "Most bid activity is complete. However, sustained tightness may create yield opportunity in 2h 2020."Chris Strain, Heartland's CFO, told FreightWaves in a telephone interview that capacity has "definitely tightened up." Prior to the pandemic, Strain said, "we were all talking about the back half of 2020 being better." "We were in that camp so we're starting to see that," he added, though he noted that is only through two weeks of observation. Talking about the recently completed quarter, Strain said April was "terrible." The rest of the quarter got "progressively better" and that trend has continued into July.Wadewitz at UBS also spoke with Heartland management about capacity. "On the supply side, HTLD believes there has been some downsizing of fleets and carrier bankruptcies which have contributed to the recent tightness in the truckload market," he wrote. Heartland has always had one of the leading operating ratios (OR) in the industry. While the company beat expectations on revenue and net income in the quarter, its OR slipped significantly during the quarter. Its non-GAAP adjusted OR was 83%, compared to 76.6% a year ago.But what Heartland came in with was well above estimates. For example, Wadewitz' forecast was that Heartland would have an OR of 88.4.The OR has weakened in part by the acquisition last year of Mills Transfer. UBS said the OR of the legacy Mills business is in the low 90s. "The integration of Mills remains on track with favorable revenue retention and ongoing opportunities to more closely align costs with legacy Heartland operations," KeyBanc's Fowler wrote, while also acknowledging the low-90 OR at Mills. KeyBanc also saw the Heartland OR as being better than projected. Net of fuel and gains from sales of equipment, Fowler said the quarter's OR was 85.2%, better than the estimate of 89.9%. But a year ago, the OR net of fuel and gains was 82.7%.Fowler increased the price target for Heartland to $26 from $24. As for Marten, Fowler raised the price target for Marten by $2 to $31. Positive Outlook At MartenIn his report, Fowler wrote that his discussions with Marten management after the earnings release "indicated sequential improvement through the quarter...with utilization benefiting from the ability to deploy assets in areas or with accounts where demand was strong, more than offsetting customer shutdowns."Although rates are increasing throughout the industry generally, Fowler wrote about Marten that "rates remain pressured with revenue/truck balanced by favorable utilization."The KeyBanc report stated further, "Overall, we view current quarter results as meaningfully stronger from an operational perspective, demonstrating margin potential in an improved freight environment." Marten's consolidated operating ratio, built through the four segments â truckload, dedicated, intermodal and brokerage â was 88.1% in the second quarter, a significant improvement of 250 basis points from the second quarter of last year. In increasing its target price, KeyBanc and Fowler said it assumes a 90.4% OR for the company in this year, a slight improvement from 90.9% last year. (Marten's 6-month OR so far this year is 90%.) Fowler sees an OR of 90% in 2021. "Overall, results are supportive of our expectation for gradual operational improvements and an improved margin profile intermediately, combined with modest organic growth," he wrote.The two divisions at Marten that had tough quarters were brokerage and intermodal. Fowler said a brokerage revenue decline of about 21% was in line with its forecasts. But intermodal revenue rising 6% was below the model that showed an 11% gain. Heartland Express Numbers For The Second Quarter Beat Projections
- Heartland Express, Inc. (NASDAQ: HTLD), the first pure-play truckload carrier to release second quarter earnings, turned in a performance that substantially beat key Wall Street expectations. The company topped both Street estimates for earnings per share and revenue, both by a significant amount. According to SeekingAlpha, the estimate of GAAP earnings per share was $0.14, and Heartland beat it on a non-adjusted GAAP basis and an adjusted non-GAAP basis by $0.10 per share in each case. Heartland's second revenue of $160.87 million was up 13.2% year-over-year and beat estimates by $8.48 million.Heartland's operating ratio (OR), always one of the strongest in the truckload sector, did weaken significantly from the second quarter of last year, moving up to 84.5% from 79.6% on a GAAP basis. The jump on a non-GAAP basis was even bigger, up to 83% from 76.6%. The key driver behind the jump in OR was an increase in expenses. Operating expenses after fuel rose to $121.9 million from $95 million in last year's second quarter. Fuel surcharge revenue was down to $13.99 million from $18 million. Operating revenue rose to $146.9 net of fuel, up from $124 million. That didn't offset the rise in expenses and the end result was a drop in operating income to $24.99 million from $29 million. Wage expenses upTwo key areas drove the rise in expenses: sales, wages and benefits, which jumped to $68.1 million from $53.4 million; and depreciation and amortization, which increased to $27.16 million from $22.6 million.Although the expense side of the earnings report was up, Heartland CEO Mike Gerdin said in the company's prepared release that "strong cost controls" were a factor in reaching the GAAP and non-GAAP ORs. Heartland does not have a conference call with investors. In the statement, Gerdin said the company "showed strength in terms of profit and overall operating efficiency during these volatile and challenging times."In reviewing the quarter, Gerdin said the first two weeks of July has continued a stronger trend that Heartland saw in May and June. "The quarter started off with weak freight demand in April and then strengthened each month during the quarter," he said in the statement.Wall Street clearly liked the earnings. At approximately 10:25 a.m., on a day when the overall market was lower, Heartland's stock was up $1.02 to $21.87, a gain of 4.89%.View more earnings on HTLDIn the past year, according to Barchart, Heartland stock has been a strong performer, up about 11.75% in the 52 weeks ended July 15. But since its market low of $15.65 on March 12, it's up 34.8%.In his statement, Gerdin said generating cash remains a goal of the company. At the end of the quarter, Heartland listed cash and cash equivalents of $82.45 million, up from $76.6 million. That cash stockpile helped Heartland last year acquire Mills Transfer, a roughly 850-unit company, for $150 million. At the end of June last year, cash holdings at Heartland were $205.6 million. In his statement, Gerdin said the OR occurred against a backdrop of "ongoing progress needed to apply our cost structure to the Mills Transfer business." "We continue to be very pleased with the Mills Transfer acquisition, as revenue retention has been favorable and we still have significant additional operating efficiencies to pursue," Gerdin said.Heartland does not break out other information found in many truckload carrier's earnings report, such as revenue per mile. It did say the average age of its tractors on June 30 was 2.1 years, up from 1.5 years at the end of June 2019. Net cash flows for the first six months of the year were $83.8 million. Gerdin's statement said Heartland used that cash to invest $63.9 million in the company's fleet network, return $15.5 million to shareholders in dividends and stock repurchases (there were no repurchases in the second quarter), and add to the cash stockpile. Heartland's balance sheet remains debt-free. But that doesn't mean it has no credit facilities to turn to if needed for acquisitions. Lower Gains On Sale Weigh On Results At Heartland Express
- Iowa-based truckload (TL) carrier Heartland Express, Inc. (NASDAQ: HTLD) generated better than expected results during the first quarter of 2020. The carrier's $0.16 earnings per share was $0.03 ahead of the consensus estimate.  "Our operating results for the three months ended March 31, 2020 showed strength in terms of profit and overall operating efficiency during these challenging times we face currently as a company and a country," said Heartland Express CEO Mike Gerdin in the press release.Of note, the company's financial results had a headwind in the form of a loss on equipment sales. In the first quarter, Heartland Express incurred a $229,000 loss replacing tractors and trailers. Typically, this line item provides Heartland Express and other carriers with gains on sale, booked as an offset to operating expenses, from the disposal of equipment. In the past, these gains have lowered expenses by a few million dollars.However, prices for used trucks have fallen significantly after record purchasing of new tractors through and after the freight peak of 2018. As post-peak volumes fell off significantly and excess capacity pushed TL rates lower, the demand for new equipment has fallen, negatively impacting the trade-in values for older equipment. There are other cost headwinds impacting demand for equipment like increased difficulty accessing credit and higher insurance claims and expenses. 3 Year Old Used Truck Price Index (USA) â SONAR: UT3.USAThe carrier expects to record gains on the sale of equipment in the $10 to $12 million range during the back half of the year.The company's average tractor age was two years at the close of the quarter compared to 1.4 years at the end of the first quarter of 2019. The increase in fleet age is due to Heartland Express' acquisition of Millis Transfer in 2019. At the time, Millis was operating a tractor fleet that was approximately two years in age.Heartland Express reported a 19.2% year-over-year increase in revenue to $166.3 million, but operating income declined 16.9% in the period to $17.3 million. Operating income was only $3.5 million lower than the 2019 comparable period even though the disposal of equipment presented a $4.1 million year-over-year cost headwind. The operating income decline was partially offset by the contribution from the Millis Transfer acquisition. Heartland Express reported an adjusted operating ratio (OR) of 88.2%, 520 basis points worse than the year ago period.Heartland Express does not provide any operating metrics around utilization and pricing. Heartland Express Key Performance IndicatorsNet cash flow from operations totaled $40.1 million in the quarter. The company spent $39.7 million in capital expenditures in the first quarter on revenue equipment and terminal projects, but capital spending is likely to slow as the carrier anticipates $85 to $95 million in net capital expenditures for the rest of the year.Heartland Express closed the first quarter with $64.2 million in cash and no debt. - DES MOINES, Iowa (AP) â Iowa abortion providers and the state reached an agreement Wednesday whereby a recent order by Gov. Kim Reynolds to temporarily halt elective medical procedures as part of her coronavirus response will not apply to all abortions. When Reynolds was asked last week if her order stopping elective procedures through April 16 included abortions, she replied that it did. However, state attorneys representing Reynolds said Wednesday that there are exceptions, including women who are approaching the state's deadline after which most pregnancies must be carried to term. Abortion providers Planned Parenthood of the Heartland and the Emma Goldman Clinic filed a lawsuit with the help of the American Civil Liberties Union of Iowa on Monday against Reynolds and other state officials. They sought a court order to halt enforcement of Reynoldsâ order as it applied to abortions. A minute before a court hearing by telephone on Wednesday, the abortion providers and attorneys from the Iowa attorney generalâs office reached an agreement in which Reynolds and state officials indicate that her order âonly suspends ânonessentialâ surgical abortions, those that cannot be delayed without undue risk to the health of the patient.â The state acknowledged that when determining whether a surgical abortion can be delayed without undue risk, it would be appropriate to consider, among other medical factors, whether the timing of the patientâs pregnancy would prevent the patient from obtaining a legal abortion after the proclamation expires. Kim Reynolds for suspending abortion procedures as part of her blanket order to halt all elective and non-emergency medical procedures. Reynolds, an abortion opponent who has vowed to end abortion in Iowa, said Sunday the move was not based on her personal ideology but a broad order to halt nonessential procedures to conserve medical equipment like ventilators and surgical masks. âEveryone is making sacrifices, everyone and so this is a decision that we're making on a daily basis and that was no different,â she said. Planned Parenthood learned that Reynolds construed the order to include abortion providers Friday when it came to light after it was mentioned in a social media post by conservative Des Moines radio host Simon Conway. - DES MOINES, Iowa (AP) â With the new coronavirus leaving many people at least temporarily out of work, food banks and pantries across the U.S. are scrambling to meet an expected surge in demand, even as older volunteers have been told to stay home and calls for social distancing have complicated efforts to package and distribute food. Food banks have for years been increasing the amount of food they deliver to pantries that pass it along to needy people, but the economic upheaval caused by COVID-19 is expected to cause demand to skyrocket. Meeting the need would be tough enough, but the response has been complicated by a virus that requires people to avoid the kind of close interaction typical in food packaging and distribution. âWeâre getting through it,â said Matt Unger, who heads the Des Moines Area Religious Councilâs network of 14 pantries. âWeâre going to do this as long as we can, as good as we can until we run out of adaptations.â The virus has caused a reversal in how pantries provide food, shifting from letting people select items in what amount to mini-groceries to giving them a sack filled with food. Giving people control over what they select gives them dignity and reduces waste, but giving them pre-filled sacks enables quicker interactions with less chance of passing along the virus. The sacks also require a lot more work by staff and volunteers who must sort and package items. That extra work comes even as pantries tell their many older volunteers to stay away. Solving The Trucking Profitability Paradox
- "It was the best of times; it was the worst of times," â Charles Dickens, A Tale of Two CitiesHad Charles Dickens been a trucker in 2019, it would have been highly likely that he would have truncated this famous sentence to "It was the worst of times." The freight recession that started in early 2019 has unfortunately continued, and for many has gotten worse. Profits have been almost non-existent for carriers of all sizes, and for a large portion of the carrier population, the entire year of business ended with absolutely nothing to show for it, not to mention cash injections from owners.A dollar invested in any business should be worth more at the end of the year than at the beginning. That's the whole point: to make money. The average North American motor carrier generated a negative return on its assets in 2019. That dollar invested at the beginning of the year was worth less, not more at the end of 12 months. For the average reader, without an education on the economics of trucking, the response to this statement would simply be that this is the risk of being in business: you take the good years, you take the bad years, and on balance, if you do the right things, you earn a profit. However, the problem with trucking is that there are two things to consider: the average long-term operating margins as a carrier (razor thin), as well as the massive risks faced by today's carriers. Most industry articles typically focus on one or the other, but when you combine the two â rewards and risk â it presents a paradox. Why accept this level of risk for such paltry returns?The reality is that trucking, like many other businesses (e.g. real estate), is leverage-friendly. It is very easy (over the long-term, not necessarily lately) to obtain credit to grow your business. Banks and lenders like physical assets; trucks are physical assets. This fact doesn't guarantee success. Unlike some leverage-friendly businesses, trucking does not have a finite capacity. As a result, when times are good, capacity (trucks) enters the market. Incumbent carriers are just as guilty (if not more guilty) for the capacity problem.This added capacity causes diminishing returns, even if it temporarily provides an increase in absolute profits for a carrier. The charts below illustrate, using empirical data, what the roller coaster of trucking profitability looks like.The underlying data is gleaned from participants in the TCA Profitability Program (TPP), which is comprised of 238 trucking company profiles, of all sizes and modes, throughout North America. Although we do not have empirical data to confirm our hypothesis, we believe that the profit margins for the wider trucking community were significantly worse than described below. If that is correct, this is the best case. For those in the shipper community that are reading this, this is what transportation looks like on this side, this is the main street of trucking. For every Heartland Express, there are tens of thousands of ACME carriers that have done worse than the averages described below.Operating Ratio â Dry vans Source: FreightWaves SONAROperating Ratio â Reefer Source: FreightWaves SONAROperating Ratio â Flatbeds Source: FreightWaves SONARNow, let's consider the risk side of the equation. For many, the first thing that comes to mind is the rising tide of litigation, and the number of nuclear verdicts being imposed on the industry. This is a trend of great concern. Carriers of all sizes and safety profiles are finding themselves on the wrong side of jury decisions at a growing rate. A decade of earnings can evaporate for both carriers and insurance companies with these kinds of judgements. When you combine these potential judgements with the difficult freight environment, most companies simply do not have the resources to assume liabilities from nuclear verdicts â or any jury verdict at all.Nuclear verdicts, rising insurance rates, depressed used truck pricing, difficult macro and micro economics and countless other curve balls make it very difficult for a pragmatic business person to justify being a trucker. However, this is where the doom and gloom ends, and opportunities start.Financial And Operational Literacy After being part of the TCA Profitability Program for five years, I've been provided with the unique opportunity to observe, first-hand, the inner workings of a growing number of trucking companies, and gain insight from the leaders in each of those businesses. From this experience, I believe (you be the judge) I've been able to distill some of the traits of those companies that have achieved significantly better returns (profits) than the average carrier. Many of these top-performing companies had their best years in 2019! These traits are part of a common theme; these companies have treated the diseases that cause low returns, not just the symptoms.The most viral disease in trucking is a lack of financial and operational literacy in this industry. All of today's top trucking companies started with one truck. Trucking entrepreneurs are problem-solvers, and many have succeeded simply because they have the ability to put out fires rapidly, and sheer willpower to make some money along the way. However, once you start building a team, it can prove difficult to provide an education on the financial and operational realities of trucking â they are typically too busy putting out fires to take a step back, to identify a better way. A common trait among top-performing carriers is that they are very transparent in their operational and financial results, and are able to communicate these results in a way that anyone can comprehend. This, tied with line-item accountability and merit-based compensation, is a formula for success.How does one start the journey towards both transparency and education? The first step is to eliminate metrics that many have difficulty understanding. At the top of the list is operating ratio (OR). I've had countless conversations with CFOs, new to the industry, who didn't quite fully understand the components of an OR. The reason is that it's not part of the normal language of businesses. Only three industries that I can think of use OR to communicate financial performance, as a default measure â trucking, railroads and insurance. Almost all other industries focus their attention on the inverse, operating income, as a percentage of revenue, and return on assets. If a CFO is asking what an OR is, it is highly likely that the vast majority of people in the company don't know either. Operating ratio is also a subtle cloak for a stark fact â returns suck. To the average reader, what is more alarming, a 98.5% OR, or 1.5% operating income (or a 101.5% OR compared to -1.5%). I think the answer is clear.Taking this one step further is translating the economics of trucking into a format that reinforces the challenges (and opportunities) in trucking in the language of business. One great method, which I feel very strongly about, is providing employees with a simplified profit and loss (P&L;) statement. An example of this, which is available for all TPP members, is a P&L; format using $1 of revenue as a starting point.Using the above example, for every dollar of revenue generated, the carrier has kept just 1.6 cents. If you were to survey your employees using the standard question "For every $1 of revenue, how much (after all expenses) do we keep, in the form of profits?", it would be a safe bet that the average response is going to be much greater than 1.6 cents (or 1.6% operating income). If your employees don't know the stark realities of trucking, there is very little opportunity to influence front-line behavior, and daily decisions. If the employee believes that the company is keeping 30 cents on every dollar, it's another safe bet to assume that he or she is rationalizing decisions that may have cost the business substantial sums.This ties into the second trait of top-performing companies, which is really a timeless mantra.A Penny Saved Is A Penny EarnedAchieving larger relative rates per mile compared to the competition is extremely difficult. This is due to the fact that the trucking market is extremely efficient because of its pro-competitive aspects. As a result, shippers shouldn't have any fears whether they are receiving the best possible price, within any given market. Instead of chasing top-line dollars, the best performers continually reinforce to their teams that every penny saved flows directly to the bottom line in the form of profit. This is a much better strategy than simply deciding to go after profit by adding more revenue (a strategy which is the underlying disease in trucking). Heartland Express (NASDAQ: HTLD), as a notable example, is widely known as a company that employs this strategy with great success (net margins of 25+%). This strategy can be distilled into a mantra that more carriers should repeat â Margin Before Truck Count. However, just talking about saving money is not the answer. People, the foundation of all businesses, need to take responsibility and be held accountable for the things they control.Accountability And WIFMClosing out the âtop traits' is accountability and merit-based compensation (WIFM â what's in it for me). These are the final pieces of the puzzle that can eliminate the disease of market-level profitability in a trucking company (or any company). Once a team member can fully grasp the language of business (the financials) and the economics of trucking, only then will they be able to fully grasp both the implications of their role and tasks. It's only natural, once armed with the data and education, for people to want to improve.
