- (Bloomberg Opinion) -- Trading saved European Big Oil from the full impact of this year’s oil crisis. It’s not the first time that massive profits from in-house trading desks ameliorated poor operating results from the core business of finding and producing hydrocarbons — and it won’t be the last. But the companies may struggle to carry this safety net into the era of decarbonization.As my Bloomberg Opinion colleague Chris Hughes wrote this week, Royal Dutch Shell Plc proved it could make a profit even amid the carnage of the oil market in the April-June quarter. The slump in oil and gas production — down 7% year on year and 11% quarter on quarter — and collapse in prices was offset by aggressive cost and capital-expenditure reductions, plus a “very strong” trading result.The company’s American peers, Exxon Mobil Corp. and Chevron Corp., largely avoid pure trading, sticking instead to marketing their own production. That deprived them of the safety net enjoyed by Shell and Italy’s Eni SpA (and presumably also BP Plc, which reports earnings on Tuesday).It showed in their second-quarter results. On Friday Chevron reported its worst quarterly loss in at least three decades and warned that the global Covid-19 pandemic may continue to drag on earnings. With the recovery in oil demand running out of steam, that’s not a big surprise. Exxon followed hard on its heels with its biggest-ever loss, as the collapse in crude prices hit upstream earnings, while the slump in demand hit its refining and chemical businesses. Exxon was probably glad to not have a big trading operation, as it managed to lose money there too.As Bloomberg News’s Javier Blas explains here, Shell profited from the sharp drop in the price of crude for prompt delivery relative to that for future supplies, allowing it to lock in a profit by buying and storing oil, while selling forward in the derivatives market. With low borrowing costs and plentiful cheap storage capacity throughout its supply chain, the company enjoyed advantages over the independent trading companies.But the gap in prices has narrowed since the end of April. Now the profit that can be locked in, less than $2 a barrel, probably won’t even cover Shell’s storage and financing costs. Will the gap widen again? Almost certainly, at some point. Will it get as wide as it was at the end of March or late April? Maybe not, as that was the widest it’s been in the data going back to October 2007. The last big blow-out was during the great oil disruption in January 2009, which was triggered by the financial crisis.Of course, trading profits don’t just rely on extreme and rare events. They have made significant contributions to the incomes of European oil majors in what might be termed “more normal” times too. And that raises a longer-term question for these companies as they become less reliant on oil.Although oil trading is well established, with a vast array of derivative contracts that can be utilized to generate profits, trading in natural gas is much less mature and may never develop in the same way as oil markets. Despite the growing volume of gas transported around the world in super-chilled liquid form, most supplies are still delivered through pipelines that tie buyers and sellers into long-term relationships and multi-year contracts. Trading instruments in electricity and renewable energy sources are even less well developed.Over the past decade, the “oil” companies, whose profits were mostly derived from pumping crude out of the oil fields they discovered, transformed themselves into “oil and gas” companies. Now they are evolving once again to become “energy” companies. Shell’s latest report shows that almost half of its production was natural gas, compared with less than 40% in 2005.The swing is likely to become even more pronounced. Companies like Shell aren’t going to stop producing oil, but it will become less important as the world increasingly embraces less carbon-intensive forms of energy. Eni Cuts Dividend as Virus Crisis Erases Quarterly Profit
- (Bloomberg) -- Eni SpA reported a second-quarter loss and reduced its dividend as the coronavirus crisis sent oil prices plunging.The Italian giant, one of several European energy majors reporting results on Thursday, was hurt by slumping demand for crude and fuels as governments imposed lockdowns to contain the virus. Consumption fell particularly sharply in its home market, the first European economy crippled by the pandemic.Eni’s adjusted net loss was 714 million euros ($839 million) in the quarter, compared with a profit a year earlier, the Rome-based company said in a statement. Analysts had estimated a 1.11 billion-euro loss.Eni now sees its full-year dividend at 55 euro cents a share, compared with an expectation of 89 euro cents back in February. The decision to cut follows similar moves at Royal Dutch Shell Plc and Equinor ASA.“We have gone through what is likely to be one of the most challenging quarters the oil and gas industry has faced in its history,” Chief Executive Officer Claudio Descalzi said in the statement. “Emerging from the pandemic will be difficult, with signs of great uncertainty still to come.”Eni shares fell 3.8% in Milan to trade at 8.09 euros as of 9:25 a.m. local time. The stock has slumped 42% this year.The company’s quarterly production slid to 1.71 million barrels of oil equivalent a day from 1.83 million a day a year earlier, according to the statement. Eni CEO Should Get 8 Years Jail on Bribe Charge, Prosecutor Says
- (Bloomberg) -- A prosecutor in Milan asked for eight years of jail time for Eni SpA Chief Executive Officer Claudio Descalzi over an allegedly corrupt $1.1 billion Nigerian oil deal.The court should reach a conclusion later this year on the accusation that most of that payment was distributed as bribes. Any verdict could be subject to a long appeals process.In his closing arguments on Tuesday, prosecutor Fabio De Pasquale asked the court in Milan for the sentence for Descalzi, who oversaw the company’s oil exploration and production unit at the time. The CEO denies any wrongdoing and he was re-appointed to the position by the Italian government in April.Several former executives of Eni and Royal Dutch Shell Plc are also on trial. The prosecutor sought eight years for Eni’s former CEO Paolo Scaroni and seven years and four months for Malcolm Brinded, who ran Shell’s exploration and production division at the time. He also requested the seizure of $1.09 billion from each of the companies.Shares of Eni were unchanged at 8.93 euros as of 9:12 a.m. in Milan on Wednesday, while Shell rose 0.6% to 1,259 pence in London.The companies and individuals accused have consistently denied any wrongdoing. Eni said in a statement on Tuesday that the prosecutor’s requests are “completely groundless.” Shell said it does not believe there is a basis to convict the company or any of its employees in Milan.The allegation is that the executives involved in the 2011 deal to secure the offshore Oil Prospecting License 245 knew that the money that they deposited in an escrow account controlled by the Nigerian government would be disbursed as bribes. In 2018, two middlemen were found guilty of corruption in a separate trial related to the transaction.The prosecution has suffered several setbacks. In January, Isaac Eke, a high-ranking retired Nigerian police officer, failed to corroborate the corruption allegations. In March 2019, a retired Swiss oil executive withdrew accusations against Shell and Eni executives, saying earlier statements that they were part of a network of bribes and kickbacks had been made under pressure.The Italian system has three rounds of sentencing before coming to a final conviction. Brent Climbs to Four-Month High on Signs of Economic Recovery
- (Bloomberg) -- Oil settled at the highest level since early March in London as indications of an economic recovery from the coronavirus pandemic helped drive a rally in commodities.Both Brent and West Texas Intermediate crude futures jumped more than 2% during Tuesday’s session. European Union leaders agreed on an unprecedented stimulus package to pull their economies out of the worst recession in memory. At the same time, European regulators are eyeing a potential approval of the first Covid-19 vaccine this year, further adding to the positive sentiment.On the supply side, the industry-funded American Petroleum Institute showed a build in U.S. crude stockpiles of 7.5 million barrels last week, which would be the largest since the week of May 22 if the Energy Information Administration confirms it on Wednesday.The “truly historic stimulus from the European Union governing body” is a “big positive for the oil market,” said John Kilduff, a partner at Again Capital LLC. “That’s going to be very supportive of their economies and should translate into a better economic outlook and better fuel demand.”Brent futures climbed toward $45 a barrel for the first time since early March when a meeting between OPEC and its allies broke down acrimoniously and the alliance began a short-lived price war. Since then, prices have recovered but remain range-bound as worldwide virus cases approach 15 million and various U.S. states mull reimposing lockdown measures.“The idea that things are going to continue to recover, demand is going to push back to pre-pandemic levels and there’s going to be enough supply off the market to keep tightening the picture, is where the buying is coming from,” said Gene McGillian, vice president of market research at Tradition Energy.But pandemic-driven demand concerns spurred by the virus aren’t yet in the rear-view mirror, challenging prices from posting a stronger breakout rally. - The European Union does not plan to crack down on planet-warming methane emissions from gas imports despite pressure from oil companies, activists and academics, according to its draft strategy and sources familiar with the matter. Eni to Exit Traditional Oil Refineries in Next Decade
- (Bloomberg) -- The coronavirus pandemic will accelerate Eni SpA’s pivot away from conventional refineries to investing in greener facilities.“Instead of slowing down, we see Covid as a reason to accelerate the transition to low-carbon energy,” Chief Executive Officer Claudio Descalzi said in an interview with Bloomberg Monday.In February, Eni set tougher climate goals, in which the Italian energy giant pledged to slash net emissions by 80% by 2050. Less than two weeks later, Italy became the first European country to impose a lockdown to curb the spread of the coronavirus. Country after country followed, sending oil demand and prices tumbling to record-lows.While consumption of gasoline and diesel in the country is now recovering, Eni’s biorefineries haven’t been affected by the pandemic. Its two plants -- Venice and Gela -- were the only ones in its refining system that did not reduce production during Italy’s lockdown as they “worked very well,” Descalzi said.Along with its European peers, Eni slashed spending plans and cut a 400 million-euro ($455 million) share buyback, but has so far left its dividend intact. Investors and analysts have questioned how European oil majors will pay for the energy transition they’re promising, as renewables typically have lower returns than oil and gas projects.Bio-ReturnsDescalzi remains optimistic. Biorefineries have an internal rate of return of 15%, which is “not bad” compared with upstream, he said. Originally, the company had planned to fund its new renewables projects with free cash flow from oil above $50 to $60 a barrel. Following the pandemic’s impact on prices, the company is now looking for new ways to finance projects. While securing capital for green projects will be different, “access to funds will be easier.”Eni plans to spend 4.9 billion euros between 2020 and 2023. With oil at around $40 a barrel, “we won’t cut low-carbon spend, instead we will be cutting oil and gas” capex by 35% to 40% this year, Descalzi said.The CEO expects Eni will exceed its initial climate ambition, saying the company will now “match Europe’s goal of reaching net-zero emissions by 2050, across Scope 1, 2, and 3.” This would cover emissions from its own operations as well from the use of its products by customers.Beyond converting refineries into biorefineries, the company will look to divestments as part of its emissions-reduction plan. Oil Extends Drop on OPEC+ Taper Jitters and U.S.-China Tension
- (Bloomberg) -- Oil dropped for a second day on expectations that OPEC+ will start winding down production cuts next month and as escalating tension between Washington and Beijing worsened sentiment across financial markets.Futures in New York fell toward $39 a barrel after retreating 1.1% on Monday. Italy’s Eni Says Covid-19 Is Reshaping Oil Industry
- (Bloomberg) -- Eni SpA became the latest oil company to cut its long-term price assumptions, saying the coronavirus pandemic would have a lasting impact on the industry.Eni now sees benchmark Brent crude at $60 a barrel in 2023 real terms, down from a previous estimate of $70, the company said late Monday, warning of impairment charges. Rivals Royal Dutch Shell Plc and BP Plc have also cut price forecasts as the lockdown-induced slump batters their business, forcing producers to reassess the value of their assets amid a shift to cleaner energy.“Having considered the prospect of the pandemic having an enduring impact on the global economy and the energy scenario, Eni has revised its view of market fundamentals,” the Rome-based producer said in a statement. The company said it would stick to -- or even speed up -- its long-term climate strategy presented in February.The spread of the coronavirus across the world this year wiped out fuel demand, hitting oil majors’ earnings in the first quarter and threatening worse to come in the second. Despite a recent rebound in consumption in some of the worst-hit countries, resurgent waves of the virus show the recovery remains fragile.Lowering price forecasts “appears to be the flavor of the month,” Biraj Borkhataria, an analyst at RBC Europe, said in a note. At Eni, “we do not see its current dividend as compatible with its aggressive decarbonization strategy.”Last month, BP signaled it would make the biggest writedown on the value of its business since the 2010 Deepwater Horizon disaster, as it cut estimates for oil and gas prices in the coming decades between 20% and 30%. Saudi Aramco's Dividend Math Doesn't Add Up
- (Bloomberg Opinion) -- It’s the mother of all payouts.The $75 billion that Saudi Aramco doles out in dividends every year dwarfs what any other listed company gives to shareholders. It’s roughly equivalent to the payouts from Exxon Mobil Corp., Royal Dutch Shell Plc, Chevron Corp., BP Plc, Total SA, PetroChina Co., Eni SpA, Petroleo Brasiliero SA and China Petroleum & Chemical Corp. or Sinopec — put together.That makes Chief Executive Officer Amin Nasser’s promise to continue that level of returns for the next five years an extraordinary vote of confidence in an oil market awash with uncertainties. Saudi Aramco will be prepared to borrow money to ensure that it meets its commitment this year despite oil prices heading into negative territory, he said this month.Running up debts to keep the dividend on track is standard practice for energy companies amid the carnage of 2020’s oil market — except for those, like Shell, which plan to cut payouts altogether. You only want to fund dividends out of borrowings, though, if you’re certain it’ll be a strictly temporary measure. The risk for Aramco is that upholding such a long-term promise to shareholders will bend its entire business out of shape, just when it needs to be especially nimble as crude demand slows and goes into reverse. The core of Aramco’s profitability is its astonishingly low production costs, with operating expenses amounting to not much more than $8 a barrel of oil and equivalent products last year. It’s remarkable how quickly the spending adds up, though. Royalties paid to the Saudi state alone added another $10 a barrel or so, while corporate income tax came to around $19 a barrel and dividends swallowed a further $15. Once all those tolls were paid, Aramco didn’t have a lot of spare change left out of $60-a-barrel oil, let alone the stuff in the $40-a-barrel range it’s selling at the moment.A firm dividend policy is an unusually inflexible cost. Unlike the royalties and income taxes levied as a percentage of Aramco’s revenues and profits, payouts don’t automatically shrink if the price of crude declines. If anything, the burden per barrel rises further when prices and output fall. Perhaps in recognition of this, the Saudi state has from the start agreed to forgo its portion of any payouts to the extent that receiving them would get in the way of Umm-and-Abu investors getting their share(1). That may help maintain a theoretical $75 billion-a-year payout but it makes a nonsense of the idea that all shareholders are equal, not to mention the principle that a dividend policy is some sort of a commitment to future earnings. It’s not clear, either, why a company with this get-out clause would want to take on debt to meet its promised payments, although Aramco’s borrowing costs are essentially identical to those of the Saudi state.Dividends aren’t the end of Aramco’s committed spending. Its purchase of a majority stake in chemicals company Saudi Basic Industries Corp., or Sabic, was completed this month, committing it to about $69 billion of payments over the next six years — even after a restructured plan pushed the bulk of the cash outflow toward the middle of the decade.Then there’s a potential $15 billion investment in Reliance Industries Ltd.’s Jamnagar refinery in India, $20 billion on a separate planned chemicals venture with Sabic, plus Sabic’s own $5 billion a year or so of capital spending which will now sit on Aramco’s balance sheet.Add it all up and the picture is troubling. It’s likely to be several years before operating cash flows rise above $100 billion a year again, even with Sabic’s business consolidated. If Aramco wants to spend three-quarters of that sum on its dividend while laying out $10 billion to $15 billion annually for Sabic’s finance and investment costs, then capex on its core operations will have to fall to a third or less of the $35 billion-odd that the company was spending until recently. For all that executives are confident of their ability to increase production at very low costs, that sort of belt-tightening would make the easiest route to higher profits — lifting crude output from its pre-Covid 10 million daily barrels to around 13 million — extraordinarily difficult to achieve.That path is likely to be constrained, anyway, by several years of weak demand growth as the world recovers from Covid-19. Not to mention the fact that Aramco’s importance to the oil market rests on the proposition that increases in its output, coordinated via OPEC+, should make prices move in the opposite direction, resulting in little by way of net revenue gains for the company.Unlike most of its competitors, Saudi Aramco doesn’t really need to be so focused on dividends. All but 1.5% of its shares are held by the same state that’s hoovering up royalty and tax payments further up the income statement. Riyadh shouldn’t really care how it’s getting paid, as long as it’s getting paid.That dividend policy looks more like a swaggering attempt to hold back the tide of an oil market on the edge of terminal decline. Income Investors Need to Look Beyond BP Stock
- On its face, BP (NYSE:BP) stock looks like a wonderful pick for income investors. BP's dividend now yields over 10%. That seems to be hugely attractive for a large, diversified oil company.Source: FotograFFF / Shutterstock.com Indeed, that yield is the highest among the largest oil producers, even for investors willing to look overseas for oil stocks. The dividends of Italy's Eni S.p.A. (NYSE:E) and France's Total S.A. (NYSE:TOT) are close to that of BP, but neither European company's yield is over 10%.The market, however, is aware of BP's dividend and is pricing BP stock accordingly. This isn't a case where investors have a wonderful opportunity to get double-digit annual returns, excluding share-price appreciation.InvestorPlace - Stock Market News, Stock Advice & Trading TipsRather, the BP stock price implies a very real expectation of a dividend cut. News last week suggests that such a cut is likely to occur -- and could arrive in a hurry. A Massive WritedownIn a press release last week, BP detailed its rather muted outlook for global oil prices. The impact of the coronavirus pandemic on the industry is well-known: oil futures even briefly went negative in April. * 10 Consumer Stocks to Buy to Ride the Post-Covid-19 Wave But BP expects the pandemic to have a long-term impact as well. As the company wrote:bp's management also has a growing expectation that the aftermath of the pandemic will accelerate the pace of transition to a lower carbon economy and energy system, as countries seek to 'build back better' so that their economies will be more resilient in the future.And so BP lowered its long-term outlook for oil and gas prices. For Brent crude, the company now expects prices of $55 per barrel, versus its previous forecast of $70. And BP now predicts that Henry Hub natural gas prices will stay below $3 per mm Btu (million British Thermal Units).That more negative view of the future will lead to significant charges in the present. BP anticipates that its second-quarter results will include impairment charges totaling $13 billion to $17.5 billion.That's obviously a huge sum. And it suggests that there will be significant near-term pressures on BP's dividend. A Dividend at RiskThe writedown will significantly reduce BP's equity. That, in turn, will increase its "gearing," or its ratio of equity to debt.As one analyst told Bloomberg, BP's gearing could near 50% after the writedown. That may become the highest such figure among the large oil firms.More importantly from a near-term perspective, the figure is well above BP's long-term target of just 20% to 30%. And so it seems likely that debt reduction will become a priority for the company.The problem is that, in this environment, it's exceedingly difficult for BP to cut debt. Its 2020 cash flows are taking a hit from depressed oil prices. Asset sales will be difficult for the company at a time when nearly every other oil producer is looking to protect its own balance sheet. And the writeoff itself suggests that BP has significant acreage where drilling won't make economic sense in this "new normal."That leaves a dividend cut and cutting explorations budgets as the only near-term debt- reduction strategies. BP's dividend distributions cost over $8 billion annually. That means the company can at least start to tackle its debt load, which was $51.4 billion net of cash at the end of Q1, by cutting its dividend.The reason BP stock has a dividend yield of over 10% is not because the market isn't paying attention. It's because investors believe, for good reason, that a dividend cut is on the way. The Case for BP StockAll that said, I'm not completely bearish on BP stock. I've recommended the name in the past. And it's possible that the selloff went too far.One blunt way to make that argument is to compare the writedown to the decline of BP stock so far this year. The $17.5 billion figure at the high end of the projected writedown range sounds enormous. But BP stock has lost about $45 billion of market value so far this year.For several reasons, it's too simplistic to argue that the size of the writedown should match the decline of the company's market capitalization. But an investor can argue that lower oil prices are priced into the shares, at least to some extent. Meanwhile, oil bulls might see BP's higher debt load as a relatively positive: it could cause the shares to climb further if BP's updated projections prove too conservative.Meanwhile, Exxon Mobil (NYSE:XOM) still seems to have significant strategic questions and a lengthening history of substandard returns. Chevron (NYSE:CVX) is a solid operator, but its stock probably is the most expensive among the large oil producers across a variety of metrics.So there's a case for BP stock as a nice combination of execution (which had been solid since the Deepwater Horizon tragedy) and value at these levels.But that case can't include the dividend. Not at this point. RPT-INSIGHT-Satellites reveal major new gas industry methane leaks
- Last fall, European Space Agency satellites detected huge plumes of the invisible planet-warming gas methane leaking from the Yamal pipeline that carries natural gas from Siberia to Europe. Energy consultancy Kayrros estimated one leak was spewing out 93 tonnes of methane every hour, meaning the daily emissions from the leakage were equivalent to the amount of carbon dioxide pumped out in a year by 15,000 cars in the United States. The find, which has not been reported, is part of a growing effort by companies, academics and some energy producers to use space-age technology to find the biggest methane leaks as the potent heat-trapping gas builds up rapidly in the atmosphere.

- (Bloomberg) -- Oil revenue, the financial lifeline of Venezuela, is quickly drying up, adding to the growing instability of Nicolas Maduro’s embattled regime.Crude exports that once accounted for 95% of foreign currency inflow to the country tumbled by almost half this month, after hitting a 73-year low in May. The plunge comes as U.S. sanctions continue to target Venezuela, home of the world’s largest oil reserves.Maduro’s regime is already plagued by a humanitarian crisis aggravated by the global pandemic that’s sapping domestic demand for fuels. There’s only one more oil tanker expected to load for the remaining 12 days of the month, documents show. Venezuela used to load two vessels per day two years ago before financial sanctions were imposed.Oil storage tanks in the country are nearly full, forcing operators to shut in production to levels not seen since the end of the Second World War. It’s next to impossible to sell crude to foreign buyers with most oil vessels booked to export crude forced to cancel due to the Trump administration’s sanctions.“Without oil money life gets a lot harder for Maduro,” said Diego Moya-Ocampos, a political-risk consultant at IHS Markit in London. “He will have to rely more on gold mining and illegal activities such as drug trafficking to pay for his security apparatus.”Shipments of oil, used to barter for fuels and food, slumped to 167,222 barrels a day this month through Thursday, down 45% compared to the same period in May, data from loading programs and ship-tracking compiled by Bloomberg show.After the U.S. levied sanctions on Mexican firm Libre Abordo SA de CV and its affiliate Schlager Business Group, Venezuela began relying on shipments to its ally Cuba and to Italian refiner Eni SpA and Repsol SA from Spain. Both Eni and Repsol have said in the past they are collecting oil as payment to settle old debts.“Repsol receives cargoes as payment for outstanding debts,” said spokesperson Kristian Rix in an email. “Repsol is fully compliant with international laws and regulations and will, of course, remain so.”Eni has been recovering receivables from PDVSA via the supply of crude oil in full compliance with U.S. sanctions, according to a company statement.Inventories have ballooned as exports tumble. Libya Restarts a Second Oil Field Even as OPEC+ Extends Cuts
- (Bloomberg) -- Libya took another step toward reviving its moribund oil industry by restarting production at a second important field after a five-month halt.Pumping began on Sunday at the El-Feel deposit, which had suspended operations due to the North African country’s civil war. El-Feel is resuming just a day after oil started flowing again from Libya’s largest deposit, Sharara.Any fresh barrels from these fields could complicate efforts by the OPEC+ producer alliance to limit global supply and push crude prices higher. The group agreed on Saturday to extend historic production cuts of 9.6 million barrels a day through July. Libya, with Africa’s largest oil reserves, is exempted from the cuts due to the country’s strife.The two southwestern fields previously pumped a combined 400,000 barrels a day, though they could take months to return to that level of output, if they reach it at all.“This is a situation we’ll have to look at in more detail once recovery actually starts,” Russian Energy Minister Alexander Novak said Monday at a press briefing held by the Organization of Petroleum Exporting Countries and its allies.Novak’s Saudi counterpart, Prince Abdulaziz bin Salman, said at the same briefing that it would be “unfair and unproductive” at this early stage to engage with Libya about its rising output. - (Bloomberg) -- Oil fell, paring a weekly gain, as investors weighed improving supply fundamentals against doubts surrounding China’s economic growth.Futures in New York slid 2% Friday but notched a 13% increase for the week.Major producers continue to scale back production. U.S. explorers laid down another 21 oil rigs, bringing the total to the lowest since 2009. Beijing abandoned its economic growth target for this year due to “great uncertainty” over the coronavirus, triggering concerns over a demand recovery.“We are starting to see some gradual improvements in the global economy, notwithstanding China, and it’s going to get better from here,” said Bill O’Grady, chief market strategist at Confluence Investment Management LLC. “So, we’ve gone from being undervalued due to fears of the lack of inventory capacity to now being about where we ought to be based on where inventories are.”However, there are still warning signs that any recovery will be long and slow. The research unit of state-owned China National Petroleum Corp. said fuel demand in the country will drop by 5% this year. Plus, U.S. oil production shut-ins have peaked, Mark Rossano, an analyst with consultancy Primary Vision said.Yet, output cuts by major producers have helped shrink inventories globally at the same time that OPEC+ works to implement its pledged reductions. Shell, Eni Win Dismissal of Nigeria Bribery Lawsuit
- (Bloomberg) -- Royal Dutch Shell Plc and Eni SpA won dismissal of a $1 billion U.K. lawsuit brought against them over allegations they knew about bribes in a Nigerian oil deal.A London judge ruled Friday that England has no jurisdiction to try the case as it involves the same essential facts as a separate Italian criminal case.The ruling is a victory for the oil companies, which have been clouded by accusations in a years-old dispute over exploration rights to a tract in the Gulf of Guinea called Oil Prospecting License 245 that has spread to courtrooms throughout Europe.The Nigerian government claims that money the companies paid to acquire the oil exploration license in 2011 was diverted to bribes and kickbacks. It says Shell and Eni are partly responsible for the behavior of Nigerian officials who used a $1.1 billion payment to acquire the oil block for personal enrichment. It's Politics as Usual in Italy's State-Led Firms
- (Bloomberg Opinion) -- The anti-politics Five Star Movement may be part of Italy’s ruling coalition, but recent nominations to the boards of Italy’s state-backed companies look as pro-politics as ever.Oil major Eni SpA, utility Enel SpA and defense group Leonardo SpA are among those that get a boardroom review every three years. The quixotic hope is that appointments are made via a clear process and at arm’s length from politics. This time around, unfortunately, one gets the impression of low-level horse trading.Nominations seem to have been crudely carved up between the two sides of the ruling coalition, with the Democratic Party choosing the chief executives and Five Star nominating the chairmen. This turns good governance into a political balancing act.The CEOs have mainly been reconfirmed in their roles. Fair enough. Ditching well-regarded executives in a crisis risks creating instability when it can least be afforded. All the same, the Democratic Party could be seen as merely ratifying the candidates it appointed or confirmed last time around.At the chairmen level, new faces abound. Assuming these are Five Star placements, it’s hard to believe there’s no agenda in forcing change. Eni receives a commercial law professor, who is also on the board of the publisher of newspaper Il Fatto Quotidiano. The paper has recently been critical of CEO Claudio Descalzi, who is the subject of litigation relating to corruption allegations. Meanwhile, Enel gets a banking regulation lawyer, who advised the bailed-out Banca Monte dei Paschi di Siena SpA. Over at defense group Leonardo SpA, the new chairman is, sensibly enough, the head of Italy’s foreign intelligence services. But a different board nominee has created controversy over reported ties to foreign affairs minister Luigi di Maio.The acid test is what independent shareholders will make of all this. The Eni appointment sends a message to Descalzi that governance must be taken seriously and that he should not relax even if the litigation against him (which is now concluding) fails. The snag is that the oil industry is facing its biggest operational and strategic challenge in decades, with Brent crude at a lowly $21 per barrel and clean energy an investment imperative. If a crisis of this magnitude isn’t the time to pair Descalzi with an industry veteran, then when is?Over at Enel, outside shareholders will have questions about the strategic implications of installing a new chairman right now. Enel has been under pressure to combine its fiber broadband unit with that of Telecom Italia SpA, to help provide universal internet access — a central Five Star goal. Thus far, CEO Francesco Starace has been cautious about agreeing to a deal. The logic and terms of such a transaction would be a concern to Enel’s non-state investors who own the majority of the group.Of course, the chairman role at Italian state-owned companies is really more administrative than in, say, a U.K. company where the occupant can fire the CEO. At all three of these firms, CEO and chairman alike answer to the state. The government can phone up Starace and dictate aims any time. Besides, finding the perfect chairman or CEO is tough anywhere. The holy grail is someone who has relevant experience, strategic vision and can strengthen the diversity of the board. They don’t exactly grow on trees.But depoliticizing these appointments has to start somewhere. Pandemic bailouts will see more firms taking on the state as a shareholder. - The CPC pipeline, essential to ship 1.4 million of light Caspian barrels per day (bpd) to the Mediterranean markets, is facing a shareholder standoff after its board was dissolved, potentially hitting further expansion plans, three sources said. The Caspian Pipeline Consortium (CPC), the largest privately-operated route connecting oil fields in Kazakhstan and Russia with the Black Sea, is co-owned by a number of shareholders with a history of failing to reach agreement. Disagreements between Russia's oil pipeline monopoly Transneft, Kazakhstan and other shareholders have capped expansion plans in the past.
