Boston Properties Announces Change to Virtual-Only Meeting for Its 2020 Annual Meeting of Stockholders
- Boston Properties, Inc. (NYSE: BXP) announced today that, due to the public health concerns relating to the COVID-19 pandemic and to support the social-distancing policies promoted by our public health officials, it will hold its 2020 annual meeting of stockholders (the "Annual Meeting") in a virtual meeting format via live audio webcast only. The Annual Meeting will still be held on Wednesday, May 20, 2020 at 9:00 a.m. Eastern Time. Stockholders will not be able to attend the Annual Meeting in person but will be able to vote and submit questions online during the meeting. The Company intends to resume in-person stockholder meetings beginning in 2021.

(NYSE: BXP), the largest publicly-traded developer, owner and manager of Class A office properties in the United States, announced today that its operating partnership, Boston Properties Limited Partnership ("BPLP"), has agreed to sell $1.25 billion of 3.250% senior unsecured notes due 2031 in an underwritten public offering through BofA Securities, Inc., Deutsche Bank Securities Inc., J.P. Morgan Securities LLC and Morgan Stanley & Co. LLC, as joint book-running managers. The notes were priced at 99.850% of the principal amount to yield 3.267% to maturity. The notes will mature on January 30, 2031, unless earlier redeemed. The offering is expected to close on May 5, 2020, subject to the satisfaction of customary closing conditions.
