- Shares of AmerisourceBergen Corp. surged 4.8% toward a 5-year high in premarket trading Wednesday, as the pharmaceutical products supplier reported fiscal third-quarter earnings that beat expectations and raised its full-year outlook. Net income for the quarter to June 30 fell to $289.4 million, or $1.41 a share, from $302.0 million, or $1.43 a share, in the year-ago period. Excluding non-recurring items, adjusted earnings per share came to $1.85, above the FactSet consensus of $1.58. Revenue rose 0.3% to $45.37 billion, beating the FactSet consensus of $44.64 billion, as pharmaceutical distribution services revenue rose 0.1% to $43.6 billion and other revenue grew 4.4% to $1.8 billion, boosted by growth in its ABCS and World Courier businesses. For fiscal 2020, the company raised its adjusted EPS guidance range to $7.80 to $7.95 from $7.35 to $7.65. Revenue is now expected to grow in the mid-single digit percentage range, compared with previous guidance of low- to mid-single digit growth. The FactSet revenue consensus of $187.5 billion implies 4.4% growth. The stock has soared 23.2% year to date through Tuesday, while the S&P 500 has gained 2.3%.

Coincidentally, Walgreens has a 28% stake in AmerisourceBergen that could be worth a similar amount.But Pessina is unlikely to want to part with the division, which mainly operates under the Alliance Healthcare brand. It’s where he began building his empire more than four decades ago. Whereas Boots, the British high-street retailer that began life selling herbal remedies in Nottingham in 1849, didn’t become part of his company until 2006. That makes the chain, with about 2,500 stores in the U.K., a plausible alternative.True, Boots’s sales and profits have declined over the past three years as it grappled with online competition. But it was one of the few retailers allowed to continue operating in Britain during the pandemic. With the Covid-19 crisis expected to spark a surge in spending on health, a buyer might see some turnaround potential in the asset now.That may help Pessina get a decent valuation for the division, which generates two-thirds of its sales from non-prescription health-care and beauty products. According to the most recent accounts available, Boots U.K. had 6.7 billion pounds ($8.3 billion) of revenue in the year to August 2019. Ebitda fell from 572 million pounds in 2018 to 391 million pounds in 2019, hurt by a 70 million-pound increase in costs from a plan to close 200 stores.Given Boots is a largely defensive brick-and-mortar retailer, a useful valuation benchmark would be the U.K. supermarkets, which are valued at between five and eight times their estimated yearly Ebitda. The extent of Boots’s exposure to higher-margin beauty and personal-care items argues for a top-end valuation. That would imply an enterprise value of about 4.2 billion pounds ($5.2 billion), assuming the business can generate annual Ebitda of about 500 million pounds, with another 30 million pounds from its optician services.Boots also operates stores in Ireland, Norway, the Netherlands and Thailand, and it owns 49% of a hearing-care joint venture with Sonova Holding AG. So depending what is included, the exit price may be higher. The question is who might want to buy Boots. A.S. Watson Holdings Ltd., owner of the British Superdrug chain, would be the obvious acquirer, but a combination of the two would likely be prohibited on competition grounds. The same goes for the U.K. supermarkets, even though Tesco Plc has the scale and its incoming CEO Ken Murphy has been a Walgreens lifer.Maybe private equity would be interested in a second go. In 2007, a year after merging his Alliance Unichem chain with Boots, Pessina took the group private with KKR in a $14 billion deal, then Europe’s biggest-ever buyout. This time, an acquirer would need to believe in the opportunity to tap into demand from consumers prioritizing their health and be willing to invest in modernizing Boots’s stores and reinforcing its online offering.Of course, a sale of Boots would be small compared to a transaction encompassing Walgreens as a whole. With M&A Hit, Wall Street Bankers Keep Busy With Stock Sales
- (Bloomberg) -- Wall Street bankers are a lot less busy these days, what with the pandemic-induced drop-off in mergers and acquisitions and initial public offerings.But there’s a gritty, less glamorous dealmaking realm that has held up, and it’s helping banks offset some of that lost M&A; and IPO revenue. A variety of companies, looking for liquidity in the weak economy, are selling off big stakes they’ve long held in public corporations.The latest came Monday when French pharmaceutical giant Sanofi launched a $13 billion sale of its 16-year-old, 21% stake in Regeneron Pharmaceuticals Inc. Regeneron, a New York-based biopharmaceutical firm, agreed to buy back about $5 billion of stock while the remaining $7 billion was sold to public investors in the largest public equity offering in the heath-care industry on record, according to data compiled by Bloomberg.Sanofi’s move came a few weeks after the pandemic’s first big deal of this kind, PNC Financial Services Group Inc.’s sale of its quarter-century-old stake of more than $13 billion in BlackRock Inc. The sale was the second-largest equity offering in the U.S. since Alibaba Group Holding Ltd.’s $25 billion IPO in 2014, according to data compiled by Bloomberg.PNC’s BlackRock stake was picked up by existing investors including Wellington Management, Capital Group Cos. and Fidelity Investments, according to people familiar with the matter. At least four state investment vehicles from the Middle East also took part in the offering, the people said.More such sales are coming. SoftBank Group Corp. raised $11.5 billion from transactions related to its stake in Alibaba Group Holding Ltd. which it bought in 2000, and another $2.9 billion capitalizing a 5% stake in its wireless arm. It is also closing in on a deal to sell its roughly 25% T-Mobile US Inc. stake, worth about $20 billion, with a portion being sold to Deutsche Telekom AG, people familiar with the matter have said.These transactions so far account for some of the biggest-ever announced of their kind. All told, there’s been $80.6 billion over 21 secondary offerings announced this year, which beats $53.1 billion over 36 such deals during the same period last year, according to data compiled by Bloomberg.That compares with a 33% drop to $22 billion in volume this year for IPOs in the U.S., the data shows. M&A; activity involving U.S.-based targets plummeted 62% during the same period, sinking to $241 billion, according to the data.For Wall Street, the secondary offerings aren’t as lucrative as other dealmaking but they require less work. Banks usually receive about 1% to 2% of the deal size for advisers fees, compared with 5% to 7% for handling an IPO. But IPOs often involve intensive road shows lasting weeks.Jim Cooney, head of equity capital markets for the Americas at Bank of America Corp., said selling stakes can make sense in the current economy. “The market prefers that companies stick to their core mission and monetize non-strategic assets before selling their own equity,” he said.The offerings mark another way that companies, distressed or not, have been hunting for liquidity since the beginning of the pandemic. Some have drawn down revolving credit lines, sold bonds or new shares and sold stakes to private equity firms. Investors have been willing buyers of shares, attracted by the discounts since shares are marketed at prices below where the stock is trading.These stake sales have investors speculating on what holdings could be unwound next. Here are some sizable ones to watch based on Bloomberg’s data. Bloomberg News isn’t aware of talks about potential sales of these stakes.SoftBank, UberSoftBank is Uber Technologies Inc.’s largest shareholder with a 13% stake worth $7.7 billion. The Japanese conglomerate, led by founder Masayoshi Son, forecasts an operating loss of 1.4 trillion yen ($13 billion) for the fiscal year ended in March after writing down values of the Vision Fund’s investments including WeWork and OneWeb, a satellite operator that filed for bankruptcy.While it isn’t SoftBank’s oldest or most sizable investment, it could help to recoup some losses.Walgreens Boots, AmerisourceBergenWalgreens Boots Alliance Inc. is the largest shareholder in AmerisourceBergen Corp. with a 28% stake, worth about $5.3 billion. AmerisourceBergen recently made an offer to buy the Walgreens pharmaceutical wholesale division, Reuters reported earlier this month.The news had analysts speculating it could be part of a transaction related to Walgreens exiting part of its stake in AmerisourceBergen. The two companies first saw their paths intertwine in 2013 through a $400 million distribution deal that was supposed to last a decade.Nestle, L’OrealSanofi’s deal to sell Regeneron stock also had analysts speculating it could buy back L’Oreal SA’s 9.4% stake in the drug company.That, in turn, raises the possibility that L’Oreal would buy back a 23% stake worth $35.5 billion that Nestle SA holds in the French cosmetics maker. Since this is a 40-year plus relationship, the deal idea has been long pitched by bankers. Over the years, both sides have said that the investment is long-term.HKEx, Kweichow MoutaiHong Kong Exchanges & Clearing Ltd., owner of the Hong Kong Stock Exchange, has a 8.5% stake worth $20 billion in distiller Kweichow Moutai Co.Kweichow Moutai has become a favorite stock in mainland China, and is up 15% this year, while the Shanghai Shenzhen CSI 300 Index fell 6.7%. Cashing out could help fuel HKEx’s ambitions as a dealmaker. It made a surprise bid for the London Stock Exchange last year.Mondelez, Dr PepperMondelez International Inc., the maker of Oreo cookies and Triscuit crackers, holds about about 13% of Keurig Dr Pepper, following a deal in 2018 when Keurig took control of the soda maker. In early March, right as the pandemic led to lockdowns in North America, Mondelez, and another investor connected to JAB Holdings BV called Maple Holdings BV,sold a $1.1 billion stake in Dr Pepper.The broader question for investors is whether Mondelez could sell more of its shares, Bank of America analyst Bryan Spillane said at the time. Mondelez could tap its equity stakes as a source of liquidity to fund acquisitions, he said.Coke, MonsterThe Coca-Cola Co. owns more than 18% of Monster Beverage Corp.’s stock, making it the Corona, California-based company’s largest shareholder, and Monster also uses Coke’s distribution network. While Coke took the minority stake back in 2014 in a push to capitalize on promising new brands, the beverage giant is getting more aggressive with its own offerings, which has sparked tensions with Monster. Analysts have been trying to figure out what Coke’s energy products mean for the future of the partnership.Liberty Broadband, CharterA 26% stake in Charter Communications Inc. has become a crown jewel for John Malone’s Liberty Broadband Corp. which has guided the company on acquisitions since it invested in 2013. - COLUMBUS, Ohio (AP) — A self-described “master thief” career criminal is hoping to catch a break on his prison sentence from burglarizing a Brink’s warehouse during which he accidentally set millions of dollars on fire. Sean Murphy and two other men were convicted of breaking into the Brink’s facility in Columbus in January 2009. Murphy received a 20-year sentence in that case, eventually reduced to 13 years on appeal. Before that sentence began, however, he spent a decade in jail awaiting trial for a 2008 Massachusetts burglary during which he stole several New York Giants Super Bowl rings, along with jewels and precious metals. Murphy believes he’s already served the bulk of his federal time and should be out by next year. He notes he was arrested on Jan. 23, 2009, for the Super Bowl ring theft, and finally sentenced for that more than 10 years later, on Dec. 5, 2019. “Everything in between goes toward the federal sentence,” Murphy said in a letter to The Associated Press. Federal prosecutors take a different view. The judge who oversaw the Brink's case said that Murphy's federal sentence is to run on top of any unserved Massachusetts prison term, said Sal Dominguez, an assistant U.S. attorney in Columbus. Murphy, who has yet to formally argue for his release on time served, is awaiting transfer to a Massachusetts prison to serve his time for the Super Bowl ring theft. The 2008 break-in at E.A. Dion Co. in Attleboro, Massachusetts, attracted attention beyond the theft of the Super Bowl rings and the approximately $2.5 million in other goods taken. Murphy and his accomplices' trademark garb of all-black outfits and their access through the roof earned them media mentions as “Ocean's Eleven”-style burglars after the 2001 heist movie. (THE CONVERSATION) It's no secret that Americans pay more for prescription drugs than any other developed nation in the world. Per capita spending exceeds US$1,000 a year; the Germans and French pay about half that. For many drugs, prices are dramatically higher than the international average: Dulera, an asthma drug, costs 50 times more, while Januvia, a drug for diabetes, and Combigan, a glaucoma drug, cost about 10 times more.
Politicians on both sides of the aisle have recognized this problem. President Donald Trump has called the situation "wrong" and "unfair"; presumptive Democratic presidential nominee Joe Biden has called to end the "abuse of power" by drug companies while his former competitor Sen. Bernie Sanders has complained about "unfettered capitalism" and "greed."
So why aren't prescription drug prices coming down? As a health policy scholar and political scientist, I believe the roadblock to change is the immense political power wielded by the enormously wealthy - and politically powerful - entities within the pharmaceutical supply chain. For decades, they have been reaping tremendous profits. It is not surprising they are now ready to invest those resources to defend their turf. Their power is and will remain a formidable obstacle to reform. And, coronavirus may have given them an assist by diverting attention away from the problem.

AmerisourceBergen Prices $500 Million 2.800% Senior Notes Due 2030
- AmerisourceBergen Corporation (NYSE: ABC) today announced that it priced $500 million aggregate principal amount of its 2.800% Senior Notes due May 15, 2030 (the "Notes"), in an underwritten registered public offering. The offering is being made pursuant to an effective shelf registration statement AmerisourceBergen filed with the Securities and Exchange Commission (the "SEC") on November 20, 2018. The offering is expected to close on May 19, 2020, subject to customary closing conditions. AmerisourceBergen intends to use the net proceeds from the offering to redeem all of its 3.500% Senior Notes due November 15, 2021 and for general corporate purposes.
