Tusimple receives expected notice from nasdaq related to delayed filing of quarterly report on form 10-q

San diego , nov. 21, 2022 /prnewswire/ -- tusimple (nasdaq: tsp) today announced that as previously disclosed in the tusimple holdings inc. (the "company") notification of late filing on form 12b-25, filed with the securities and exchange commission ("sec") on november 15, 2022, the company has determined that it is unable, without unreasonable effort or expense, to file its quarterly report on form 10-q for the fiscal quarter ended september 30, 2022 (the "form 10-q") by the prescribed due date because the company requires additional time to finalize the form 10-q in light of the changes to the company's board of directors and chief executive officer on november 10, 2022, as disclosed on the company's form 8-k filed with the sec on the same date. on november 17, 2022, the company received a notice (the "notice") from the nasdaq stock market llc ("nasdaq") indicating that, as a result of not having timely filed the form 10-q with the sec, the company is not in compliance with nasdaq listing rule 5250(c)(1) (the "listing rule"), which requires timely filing of all required periodic financial reports with the sec.
