Boyd gaming corporation announces private offering of $750 million senior notes due 2027
Boyd gaming corporation announced the offering of $750 million aggregate principal amount of senior notes in a private placement transaction, subject to market, regulatory and other conditions. the notes will be fully and unconditionally guaranteed by certain of the company’s current and future domestic restricted subsidiaries. the company intends to use the proceeds from the notes offering to finance the redemption of all of its outstanding 6.875% senior notes due 2023. the company intends to use borrowings under its revolving credit facility to pay the redemption premium, accrued and unpaid interest, fees, expenses and commissions (including the initial purchasers’ discount) related to this offering and the redemption. the senior notes being offered have not been registered under the securities act of 1933, as amended, or applicable state securities laws or blue sky laws, and may not be offered or sold in the united states absent registration under the securities act and applicable state securities laws or available exemptions from such registration requirements.
